BIRMINGHAM, Mich., Sept. 24, 2018 (GLOBE NEWSWIRE) -- Conifer Holdings, Inc. (NASDAQ: CNFR) (“Conifer” or the “Company”), today announced that it has closed its previously announced public offering of $22.0 million aggregate principal amount of 6.75% Senior Unsecured Notes due 2023 (the “Notes”). The Company used net proceeds of the offering to redeem a portion of the Company’s outstanding 8% subordinated notes due 2032 (the “Subordinated Notes”). In addition, the Company has granted the underwriters a 30-day option to purchase up to an additional $3.3 million aggregate principal amount of Notes.
Boenning & Scattergood, Inc. acted as sole book-running manager for the offering, and American Capital Partners, LLC acted as co-manager.
The Notes have been issued pursuant to a registration statement on Form S-1, including a prospectus, which was filed with and declared effective by the Securities and Exchange Commission (the "SEC"), as well as an additional registration statement filed pursuant to Rule 462(b), which became effective when filed, and a final prospectus that has been filed by the Company with the SEC. The Company has applied for the Notes to be listed on the Nasdaq Global Market under the ticker symbol “CNFRL”.
